Windows XP Startup error

After Windows XP goes through the XP logo screen startup
process I get the following error on a blue screen;

stop:c000021a {fatal system error}
The session manager initialization system process
terminated unexpectedly with a status of 0xc0000034
(0x00000000 0x00000000)
the syste has been shut down

Is this a windows xp software problem or a hardware
problem?
