I want to upgrade from windows 2000 to XP professional. Which is the better product Microsoft Windows XP Professional Upgrade or the XP professional , one is an OEM product the other says its a complete package, which should i choose ?

The versions are exactly the same. Upgrade version costs less but you have
to have an older windows cd to prove you can use the upgrade during install.
Upgrade versions do upgrade or clean installs. The full version requires no
proof, does upgrade and clean installs.
An oem version has these limitations:
-- cannot upgrade over an existing Windows installation
-- must be installed on a "clean" drive
-- cannot be transferred to a new or different computer in the future
-- are not eligible for any free technical support from Microsoft
-- must be sold with some type of computer hardware
-- cost less because of the above limitations

OEM versions of Windows XP are not able to upgrade over an
existing Windows installation. Only "retail versions" have the
ability to upgrade. OEM version are meant for installation on
a "clean" drive only. That's one of the reasons OEM versions
cost less.....
Should you purchase an OEM license version of XP?

It's not a matter of "better." They are both the same regarding
the software they contain.
However in your case, you can't use the OEM version. OEM versions
do clean installations only, and not upgrades.
Get the Upgrade version.

He can, if ihe is willing to live with the forgivings of it, mentioned
elsewhere. IMO, nothing is preventing one from replacing there
existing OS with an OEM version. I replace Win95 with an OEM XP-Home
just fine (clean install).

Yes, of course he can do a clean installation; I said so in my
last sentence you quoted above. But he asked about doing an
upgrade ("I want to upgrade from windows 2000 to XP
professional"), not a clean installation.
