Unprompted Restarts + Irremovable Files!?

I am having two problems with Windows XP Pro at the
moment:

1) It keeps restarting spontaneously. To resolve this I
have been looking at new drivers for everything. I had
assumed I had new drivers for everything as I updated
after I installed XP... but I forgot my motherboard. Now
I have downloaded this information to update it.

2) And hence the second problem: Now that I have these
installation files saved to my desktop, one of them I
can't remove. It is the AFLASH program (MS-DOS) for my
ASUS Motherboard, and I cannot delete it, rename ir or
anything. An error message says it is being used by
another person or program. I tried shutting down EVERY
program, prcoess and application physically possible bar
the ones that are "critical" and can't be shut down. I've
tried deleting it in safe mode, and I am the
administrator so I have the access. I have no idea how to
get it off my desktop: NOTHING CAN BE DONE WITH IT! Oh,
and I also managed to copy and paste it onto my desktop,
so now I have TWO versions of this AFLASH file.

Can anyone please help me? Why can't I get rid of
them!!!??? XP is driving me nuts!
