When attempting to upgrade XP from the MS site, the whole process goes
through, right up to the EUA, I click on accept, the download starts, goes
for about 118k and then stops. MS tells me that the download and
installation was unsucessful...any ideas...I was thinking cookies, but tried
that...could it be a security setting (this is on my son's computer, and who
knows what he's done)?

rename the catroot2 directory to something else like "catroot2OLD" and then
try visiting the Windows Update site again. An new folder named catroot2
will be re-created. If the visit to the update site is successful you can
delete the old catroot2 folder that you renamed
(the catroot 2 folder is located here Windows\System32\Catroot2 )

Something you can try:
Go to Start
RUN
[type]
regsvr32 wintrust.dll
[enter]
Then attempt your download again.
