I do not want my xp preinstalled, nor do i want the system
restorer CD. I have Win98 and know I could use the upgrade
version. Is there such a version that is considered OEM?
Also, in the future, I may have to get a new computer (
don't we all one time or another? ) Do I need to reinstall
Win98 OS, in order to use the upgraded one and etc.?

You do not have to install Windows 98 to upgrade to Windows XP, but
you need the Windows-98-CD because Setup will prompt you for the
installation media.
