Is there a legitimate reason to go with the full version
of XP rather than upgrading W98?

You wish to either dual boot Windows XP and Windows 98 or you wish to use
the Windows 98 on another PC or you wish to sell it.
When you use the upgrade your license to use the product that you use a
qualifying media to upgrade from is gone and becomes part of the Windows XP
license.
