What are the symptoms you're experiencing? XP doesn't see the drive or list
it in Explorer? Access denied messages?

I am able to see the drive as D: in explorer but there are
no files visible. It is showing NTFS format now vs. FAT
before the upgrade.

John,
See Help and Support and search for "take ownership"
HOW TO: Take Ownership of a File or Folder in Windows XP

This may apply to your situation.
