It is better to do a clean install.
You can use both the upgrade or the full version CD to do a clean install.
The upgrade version will ask for proof of a previous version of windows, so
just insert your win 98/me CD in the drive when asked.

Hi Kelley,
Upgrade - you don't lose your current settings, preferences, programs, etc.
(though backing up anything you don't want to lose is still an essential
step before upgrading). You can always do a clean install afterwards should
it be warranted (it rarely is). But, if you do the clean install first, you
can't go back and do an upgrade.

Kelly try the upgrade first. If it doesn't work you can still do a clean
install even with an "Upgrade version". While some people advocate a clean
install it is often due to the fact that many people do not adequately
prepare for an upgrade and the result is less than satisfactory. Check out
Gary Woodruff's primer here http://www.aumha.org/a/xpupgrad.htm
the basic rules for upgrading are:
1) ALWAYS backup important data first
2) ensure that your system is XP compliant by running the Compatibility
check http://www.pcpitstop.com/xpready/ and run the Upgrade Adviser from any
Windows XP CD or from this large download (35mb)
http://www.microsoft.com/windowsxp/pro/howtobuy/upgrading/advisor.asp and
heed any warnings about incompatibility
3) Before upgrading uninstall Antivirus, CD Writing Software, disk
management programs like Norton System Works and also disable your firewall
4) make sure you have XP compatible versions of the above software to
install again after you upgrade if you plan to use them. For example early
versions of some CD writing packages like Easy CD Creator or Direct CD won't
run under XP and you will need updated versions of your Antivirus too.
5) Download this patch and save it to a disk so you can install it
immediately upon upgrading
http://download.microsoft.com/download/9/8/b/98bcfad8-afbc-458f-aaee-b7a52a983f01/WindowsXP-KB823980-x86-ENU.exe
this protects you from the Blaster Worm virus
6) Do a thorough disk clean up and defrag before you upgrade.
7) Unplug from the internet
8)Pop the XP CD into the CD-Rom from the Desktop click "Install" and select
"Upgrade [recommended]
9) Select the option to "Activate later" when you finally hit that screen
10) Install the patch from #5
11) Establish you internet connection by plugging back in then go to Control
Panel->Network Properties->Advanced Tab and check the box to enable Firewall
12) Install your Antivirus software and update the definitions.
13) visit the Windows Update Site and install ONLY Critical Updates
including Service Pack 1a
14) After you install Service Pack 1 and other Critical Updates run Defrag.
15) you will likely need java so visit the Sun Java site at
http://java.sun.com/getjava/download.html to download that version
16) Some of your previously installed software might need to be reinstalled
after the upgrade and some will run fine.

Better to do a clean install, but definitely not more convenient.
