problem

i downloaded a movie it plays properly on the computer
but when i copied it on to a disc using nero the audio
and picture are out of sync.

Do you mean copied it as a data cd, or as a vcd to play in your DVD player?
If it is VCD, then use VirtualDub and TMPG to encode, not Nero.
