Read Gary's page http://www.aumha.org/a/xpupgrad.htm

There is no reason to not try upgrading if your system meets the hardware
requirements to run XP. If the upgrade is unsuccessful you can still do a
clean install. If you have a Windows 98 CD then purchase an XP Upgrade
version. You can do a clean install with the Upgrade version if you have to.

The main problem causing upgrades to be unsuccessful is due to improperly
preparing for the upgrade.

1) Make sure you Backup important data first
2) Make sure you have XP specific (or even Windows 2000) drivers downloaded
and saved to floppy or CD if you have odd ball hardware.
3) Make sure you have your Application installations disks handy for after
the upgrade as you might have to reinstall some apps.
4) Make sure you have your Product Key
5) Uninstall CD Burning software, antivirus programs, firewall programs etc
before you try upgrading
6) Run the Hardware Compatibility check and heed the results. If the report
says to uninstall something before upgrading do it.
7) Do a decent disk cleanup and defrag before upgrading.
8) Download this file and save it to CD before you upgrade

This patches for the Blaster Worm
9) Start Windows 98 and at the Desktop pop the XP CD into the drive, select
Install->Upgrade [Recommended}
10) Once you have finished the install immediately run the patch from step 8

Greetings --

You should, before proceeding, take a few minutes to ensure that
there are WinXP device drivers available for all of the machine's
components. There may not be, if the PC was specifically designed for
Win98. Also bear in mind that PCs designed for and sold with Win9x/Me
very often do not meet WinXP's much more stringent hardware quality
requirements. This is particularly true of many models in Compaq's
consumer-class Presario product line or HP's consumer-class Pavilion
product line. WinXP, like WinNT and Win2K before it, is quite
sensitive to borderline defective hardware (particularly motherboards,
RAM and hard drives) that will still support Win9x.
