Application Fail to initialize at logoff

After I Click on Turn off the computer the following
message is displayed:

"The application failed to initialize properly 0xc0000142
Click OK to terminate the application"

When I click OK it just displays the same message no
matter how many times I Click OK.
The only way to get windows to shut down is to let it
time out on the message.

The application is listed as "NET.EXE"

If you know how I can get rid of this menacing
application failure Please let me know.
