Install a HOMEPNA network adapter and its driver program on each
computer, following the instructions provided by the manufacturer.
Connect each adapter to the phone line.

Enable Internet Connection Sharing on the dial-up Internet connection.
If it asks you what to use for the home connection, tell it to use the
HOMEPNA connection. Details here:

Steve gave one right answer based on his assumption about what you
are trying to do. I'll make a different assumption and give you
a very different but equally correct answer.

If you have a dial-up connection from one PC to the 'net, and you want
to share that dial-up connection with the other PC, then you can use
ICS (software routing). The PC with the dial-up modem will be the
ICS host, and the other PC will be the ICS client. The inter-PC link
will connect NICs on the two PCs, either using a crossover Cat5 cable
or a pair of standard (patch) Cat5 cables with a hub or switch in the
middle. Note that ICS is available with XP HE and with W98SE; if you
have a choice, making the XP PC the ICS host would be better, since
XP is more stable than W9x.
