I want to install windows XP on my PC, Currently I have ME
but I's like to format my HD before installing a new OS
(specially cause my ME is full of bugs) Any ideas whether
it'd work and if so, what do I have to do to get the
upgrade running over a blank HD.

A retail Upgrade version of XP will either Upgrade or install on a clean
drive.
You will have to insert the ME disk to show proof of previous operating
system if you decide to go with a clean new disk.
Your XP CD is bootable for installation, but you may have to boot into your
BIOS first to set the CD drive to boot before the Hard drive.
