I have an OEM version of windows 98 and want to upgrade my
computer to xp. I want to be able to keep my files (all I
can do a FAST on is floppy, so I just want to do an
upgrade) and the person I got the computer from is out of
buisness. Will I still be able to upgrade. Please help.

Yes. But first run the compatibility test.

Yes but do not use a Windows XP OEM version as it will not allow you to do
an "in place upgrade". However both an XP Full Retail version or an XP
Upgrade version will allow you to upgrade your Windows 98 OEM installation.
Make sure you plan for a successful upgrade. You should always backup
important data prior to upgrading. That can not be over stated. Ensure that
you do a good disk cleanup, delete temp files, empty the recycle bin,
uninstall your Antivirus, and other third party disk management apps like
Norton Utilities, GoBack and the like first. Defrag. Ensure you have XP
drivers for your modem if you use dial up. This way you can get back on line
if you need additional help.
