Hi any one have any clues how i can protect Files &
Folders on a LAN Network so that they (A) can not be
deleted & (B) can not be opened by any one eles other than
(me who knows the password) but the file or folder needs
to be reached from any where within in the network

The simplest way is to give the folder(s) a secret name, like
SECRET$ (note the trailing $), and don't divulge the SECRET$.
Or, you can sometimes create a compressed (ZIPped) folder under
XP, with a password for the compressed files.
Or, you can replace the OS with W9x, and use its PWs for shared
files.
Or, you can set up VPN with a PW and access your files via VPN's
tunnels.
