I want to install a new copy of Win XP because the one that came with the
machine was, I believe pirated and won't update. I have a new authentic
copy. Can I just install it over the old copy without losing any data?

You don't even have to do that. All you need to do is enter your purchased
product key:
1) Run regedit and go to:
HKey_Local_Machine\Software\Microsoft\WindowsNT\Cu rrentVersion\WPAEvents
In the right pane double click on "oobetimer" and change at least one
digit of this value

(ie: change hex "CA" to "AC"). This will deactivate windows.
Exit regedit.

2) Choose run from the start menu and type in this command
c:\windows\system32\oobe\msoobe.exe /a

3) Choose activate by phone.

4) Choose Change Product Key.

5) Type in the new product key.
CLICK UPDATE

6) Now reboot.

7) After reboot, re-enter command from step 2 to verify activation.

Visit http://www.webtree.ca/windowsxp/repair_xp.htm and click
on "How to Run a Repair Install".

You'll need your new Windows XP CD, and the new Product Key that
came with it, in order to perform a repair.

Have you tested this? I don't believe a Volume Licensed install
will accept a retail Product Key. I think the OP will need to perform
a repair installation.

Use your legitimate full copy of WinXP Pro to perform a repair
(a.k.a. in-place upgrade) installation, using the new CD and Product
Key.

Yup you're right. A retail key won't work on the volume license install.
