You must have Win XP Pro to do this:
-Goto the Local Security Settings in Administrator Tools.
-Goto Local Policies > User Rights Assignment
-Scroll down to Shut down the system
-Double-click and edit as you please.
BTW you may want to disable "Shutdown: Allow system to be
shut down without having to log on" located in Security
Options in the same root directory as User Rights
Assignment.
Remember, you MUST have Win XP Pro to do this, and users
can STILL put the computer into standby by other means
(e.g. Sleep button on the keyboard), but they can not
shut down or restart the system, unless the physically
pull the plug.
