It's simple just goto your control panel>>Admin
Tools>>Services>>scroll down to "Messenger" double click
on it, and set it from Auto to Disable. U can also just
enable XP's built in firewall.

Chris;
Disabling Messenger by itself is a very bad idea.
It does nothing for the real problem of the unprotected computer.
Read my previous post in this thread.

Your comment "U can also just enable XP's built in firewall" suggests
"either/or" where the firewall IS the correct fix.

Well, it is the problem b/c he's trying to get rid of the
pop-up's. but thank you for the total solution :)

That's like saying the measles spots are the problem, not the underlying
virus. The pop-ups are a SYMPTOM, they are *not* the problem.
