ive heard that if you upgrade a processor and ram, my
windows xp might think ive installed it on a different
machine. if this is true how do i work around this?

You don't work around it, you work with it.
Replace the components as planned.
Boot up, if all goes ok, you are finished, reactivation may be
required.
If boot fails, a Repair installation may be required:

Data should be safe, back-up important data just in case.

If all you are changing is the CPU and memory (i.e. your Motherboard
is _not_ being upgraded) you are very unlikely to have any problems at
all. A motherboard upgrade, OTOH, will almost certainly require a
Repair reinstall, and may require reactivation (depending on how long
it has been since your initial installation/registration.
