I recently purchased a windows XP home edition upgrade on
my old PC. It basically didn't work as the computer was
too old and things crashed such as cd-rom drives. I have
2 weeks later bought a new pc with xp already installed.
Can you tell me if I am able to deactivate the original
upgrade of Xp in order that I can sell it on???

There is no de-activation. If you sell it you must include the product key.
The new owner may install it if he has a qualifying product, such as Win 98
or ME. He will have to do a phone activation, and explain the circumstances.
