When I finish running the XP setup, the screen says that
it can't find the hal.dll file and is unable to continue.
Please help?

There is something wrong with the upgrade. See "How to Troubleshoot
Windows XP Setup Problems When You Upgrade"
(http://support.microsoft.com/?kbid=310064). Usually one solves the
HAL.DLL problem by reinstalling Windows as described here: "How to
Perform an In-Place Upgrade (Reinstallation) of Windows XP"
(http://support.microsoft.com/?kbid=315341). However, in this case it
may be better to remove Windows XP and return to Windows ME. Retry the
upgrade and if it fails again consider installing Windows XP clean
(with removing Windows ME at first).

Pysically remove the modem.
Try installing WinXP again.
If it installs, turn off the computer and put the modem back. Have the
modem installation media handy and start the computer.
