I know when I upgraded MB's and CPU in older OS's(Win9x)
there would be all kinds of motherboard resource
conflicts and the OS would be very buggy after and the
only way to fix was a clean install. My question is, How
will XP perform after a MB upgrade?? Anyone done it?? I
just dont want to go thru the XP activation issues.

You will have to do a Repair Install.

Greetings --
Unless the new motherboard is virtually identical to the old one
(same chipset, same IDE controllers, same BIOS version, etc.), you'll
need to perform a repair (a.k.a. in-place upgrade) installation, at
the very least:

As always when undertaking such a significant change, back up any
important data before starting.
