When moving floppy disks between the two operating
systems, for example saving files on a 2k box, then
trying to open on xp box, the xp box wants to format the
floppy; this is happening on several machnines in my
organization; any ideas what is causing this?

More than likely a head alignment problem.

Since you can't read it on a number of machines, it indicates that the
floppy drive in the original box is probably defective or has a head
mis-alignment. Easiest solution is to replace that floppy drive.
ALL Windows floppies are written in FAT-12, so it matters not what OS or
FAT/NTFS file structure your HDD is written in, they should be readable on
any machine.

Bad floppy or bad head alignment on one of the drives...
