Try the following,

Run full system cleanup
Full Scan disk
Full Defragment

Then try shuting down.

If that doesnt work try lowering the amount of startup
programs you have because then there should be less to
close down when you shut down.

Posting the same advice twice under two different names, doesn't make =
you twice as smart, but advice that should be twice as likely not to be =
followed.

There is a known issue with update 811493 that causes slow shutdown in XP.
You can delete it in Add Remove programs.

That issue has been fixed, and is available to download again, =
overwriting the older version (if installed already). Obviously you =
don't keep in tune with MS Updates; so get current, or be gone!

No, that was the old version of 811493 (and it only caused
slowdows on *some* computers). The new version, the one that's
been available for the past few days, no longer has this problem.
