When I go to START and click on SHUTDOWN, the shutdown
box comes up and the screen fades to black and white but
when I try to SHUTDOWN or RESTART, the system goes right
back into Windows.

The only way I can shutdown is to go to START-LOG OFF and
then click SHUTDOWN then SHUTDOWN and click YES to the
dialog box saying other users may be conected.

Any ideas on how to reslolve this issue?

There are many issues with shutdown problems. MVP Jim Eshelman has one of
the best shutdown troubleshooters available here:
