CODE 31 NETWORK CARD

I have tryed to instal a nic which windows xp usually
picks up the card is a d-link dfe 530 but the drives will
not load, code 31 in device manager
I have unistalled the card and tryed to re-install from
add and remove hardware but I am stil getting code 31
anyone got any ideas
