I bought XP for a new laptop that I bought. When I bought
the laptop and XP software I was told by the retailer that
I could load the XP software on my older desktop computer,
which had WIN 95. So, I loaded XP on my laptop and went
online to register the sftwr. then I loaded XP on my
desktop and when I went to register it online, the message
came back that the sftwr was already registered on another
computer. How can I register the sftwr on my desktop?

The retailer is incorrect. He was thinking about MSOffice which can be
loaded on a desktop system and a laptop as long as the laptop is used
exclusively by the desktop owner and not concurrently with the desktop.

XP as well as all MS Windows operating systems have always been been sold
with a one system license unless you purchase a Volume License. You will
need to purchase a second license for the desktop.

Greetings --

The retailer lied to you.

As it has always been with *all* Microsoft operating systems, it's
necessary (to be in compliance with both the EULA and copyright laws,
if not technically) to purchase one WinXP license for each computer on
which it is installed. The only way in which WinXP licensing differs
from that of earlier versions of Windows is that Microsoft has finally
added a copy protection and anti-theft mechanism, Product Activation,
to prevent (or at least make more difficult) the sort of multiple
installations you're asking about.

Additionally, you've violated your EULA by installing an OEM
license on a computer other than the one with which it was purchased.
An OEM license, once installed, are _not_ transferable to another
computer under any circumstances.

Your options are:

1) Remove WinXp from the second computer.

2) Purchase and use a legitimate full copy of WinXP to perform a
repair (a.k.a. in-place upgrade) installation, using the new CD and
Product Key.

If your dealer didn't purposely tell an outright lie, he was
mistaken. The rule is one copy (or one license) per computer.
There is absolutely nothing new in this respect with Windows XP.
This is the same rule that's been in effect with *every* version
of Windows--one license for each computer. The only thing new
with XP is that there's now an enforcement mechanism.
