The upgrade Cd contains exactly the same software as the full version,
except that it asks for proof of a previous version when installing. You can
still do a clean install with the upgrade version as long as you have a CD
of a previous Windows OS. And the Upgrade CD is cheaper.

There is no difference at all, except for the setup routine, and
what it accepts as qualification to install. The full version can
be used for either a clean installation or an upgrade. The
upgrade version can also do both, except if you use it for a
clean installation, you must have the CD of a previous qualifying
version to insert when it asks for it.

If you own 98SE, you qualify to use the upgrade, and since it's
cheaper, that's what you should get.

Also note that there is a third version, the OEM version, which
many people mistake for the full retail version. Unlike the full
retail version, the OEM version can *not* do an upgrade, but only
a clean installation.
