More Info on SP2 Hanging on Startup - Pls Help

I'm one of those who have tried almost everything to get SP2 to work
properly. Specifically I get a blue screen which says, "STOP: c0000221
Unknown Hard Error \System Root\System32\ntdll.dll."

I followed the installation instructions found at
http://www3.telus.net/dandemar/spackins.htm exactly, but I still get the
error described above.

I know that at least a few of you Microsoft experts can finally get the help
I need. The only thing I can think of now is that I need to update the BIOS,
something I don't want to do unless absolutely. I'm running a Pentium III
1.2 GHz with the Intel 815 chipset. The motherboard is even an Intel
product.
