Control Panel, Sounds and Audio Devices, Sounds tab, scroll down to "Start Windows."
Expand the Windows XP Startup menu, click none.

Go to Control Panel | Sounds and Audio Devices, and on the Sounds
tab, go to the Start Windows sound, and choose "None." Or change
to any available sound. While there, you can also
customize other sounds besides the startup sound.

In Control Panel - Sounds and Audio, Sounds page you can select the
'Start Windows' one and set it to (None) - which hides up top of the
List.

Or more definitely, so that any selected sound would not play
Use TweakUI - one of the XP Powertoys from (if you have installed XP
SP1)
http://www.microsoft.com/windowsxp/pro/downloads/powertoys.asp

Its General page, uncheck the first item; Beep on errors.
