Shutdown Issue

When shutting down - I'm geting a message that the system is waiting for a
program to shut down. "dp0" is the program name - but I cannot locate it in
the task manager. Virus-scan finds nothing.

Try this, http://www.pestscan.com/ , it is a known pest
http://www.2-files.com/filename/dp0-dll . Also use Ad-aware,
http://www.lavasoft.nu/ . You will need both to eliminate 100% of the
spyware. There are various others that do the same.
