Not a Valid Win32 Appl

Whenever I try and access certain maintenance features
such as the the Control Panel or the the Device Hardware
Manager it does not open and give a "Not a Valid Win32
appl". What causes this and how can I fix it?

With your WinXP Cd in the drive select Start>Run and type: sfc
/scannow. This is your system file checker.
