Winnet.exe

Hi was wondering if anyone can help, whenever i close
machine it come up with a message saying winnet.exe
failed to initialise as the machine is shutting down.
also when i try to run a defrag it says it cant cause of
this file.. any idead pls get in touch! im on msn and
aol messenger as donnamullan
