After installing windows XP PROFESSIONAL, my laptop will
not shut dowm.
It goes to the whole shutdown process but restarts
instantly

Something on your computer is causing a System Failure type error when
Windows attempts to shut it down.

Use Control Panel - System - Advance - Startup and Recovery Settings
and uncheck the "Automatically restart" checkbox in the System Failure
section.

That will probably mean a Blue Screen Of Death STOP error message
instead of the restart but the contents of the STOP error message will
be a solid clue as to the underlying cause.

Some further things:

1. Make sure you have all of the Windows XP updates and patches for
your exact model from the Laptop Manufacturer's web site.
