shutdown error message

Can anyone help me with a shutdown problem
I get a blue screen error message on shutdown which reads:
DRIVER_IRQL_NOT_LESS_OR_EQUAL

with the following tech info below:
STOP 0X000000D1 (0X0000002B, 0X00000002, 0X00000000,
0XFC804941)
kbdclass.sys address FC804941 base at FC804000, date
stamp 3d6ddad3

I believe it is a driver problem, can somebody please
advise on how I should deal with this.
