XP upgrade - rebooting loop

I am trying to upgrade from Windows 98 to XP Home Edition.

During the install the pc is rebooted and when it restarts I get an error
message "Services.exe - The application failed to start properly oxc0000142.
Press OK to continue" . If I OK this message I get the same message again
but this time referring to lsass.exe. When I ok this one the pc reboots and
the cycle repeats itself.

Anyone any ideas?

I get the same message,only mine says Unable to initialize connection. I just
installed a new version of Adobe,so wondering if that is the problem?
anyone elsegetting that message?
