error message 0x00000000 reference memory could not be after Windo

Default error message 0x00000000 reference memory could not be after Windo

I get an error message about reference memory just after WindowsXP loads up
(SP3).

If I click "OK" or "CANCEL" I can only open 1 program at which it then locks
up (does not matter what program). If I don't click "OK" or "CANCEL" I can
open any program just fine so long as the error window stays open.

I have run a CHKDSK, SPINRITE and DEFRAG without any change or improvement.
What should I do to get rid of this error message? I really really don't
want to have to re-install my system.(
