no cd-rom drivers installed

P&P will install the cd-rom but says there is a problem.
it says the device driver is either missing or corrupted.
(code 39.
How do I resolve this problem? I have remived the
hardware several times and the P&P reinstalls it with the
same problem each time. I have downloaded the latest
driver updates from microsoft but this didnot help either.
