Default Passwords on folders

How do I put a password on certain folders, esp. windows
ones? I have the upgrade version of XP and am using FAT32
on an HP xt973.

Any help would be appreciated,

Forget about passwords on folders.
Use passwords on individual profiles.

First of all you need to be NTFS file system:

Then Windows XP Home:
