Lan Modem and XP always dialing

I have a network modem on our lan.
Everytime i restart XP Pro and every 5 to 30 minutes this
one PC causes the modem to dial and stay connected.
Auto update is turned off so is messenger and i can not
find any dial home applications as it is a clean install.
Any ideas what to look for?
